Terms of Service
Last updated: May 2026
1. Acceptance of Terms
By accessing or using the Modivis website at modivis.com (“Site”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our Site.
2. Description of Services
Modivis operates a marketing and informational website describing our platform for the tokenization of real-world assets including invoices, letters of credit, and net working capital instruments. The Site allows visitors to learn about our platform and submit demo requests. Access to the full Modivis platform is subject to separate agreements and is intended for institutional and accredited users only.
3. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services or submit inquiries through our Site. By using Modivis, you represent and warrant that you meet these requirements.
4. Analytics and Tracking
By using our Site, you acknowledge that we collect analytics data to understand visitor behaviour and improve our services. This includes use of Google Analytics 4, which collects data such as pages visited, session duration, browser type, device type, and approximate geographic location. We also track which sections of our homepage visitors engage with and for how long using custom events.
In addition, we use IP address lookup (via ipinfo.io) to identify the organisation or company associated with your network connection. Only the organisation name, city, and country are retained — your IP address is not stored by us. This applies to corporate network visits only; residential, mobile, university, and VPN connections are automatically excluded. This processing is based on our legitimate interest as a B2B platform in understanding which organisations visit our site.
You can opt out of Google Analytics tracking by installing the Google Analytics Opt-out Browser Add-on or by disabling cookies in your browser settings. For full details on data collection practices, please see our Privacy Policy.
5. Cookies
Our Site uses cookies to function and to collect analytics data. By continuing to use our Site, you consent to our use of cookies as described in our Privacy Policy. You may disable cookies in your browser settings at any time, though this may affect certain features of the Site.
6. Demo Requests and Contact Forms
When you submit a demo request or contact form, you consent to us storing and using the information provided (including your name, email address, company name, and job title) to respond to your inquiry. We will not use this information for marketing purposes without your explicit consent, and we will not sell or share it with third parties except as described in our Privacy Policy.
7. Regulatory Compliance
Users are solely responsible for ensuring their use of the Modivis platform complies with all applicable laws and regulations in their jurisdiction, including securities laws, anti-money laundering regulations, and KYC requirements.
8. Prohibited Activities
You agree not to use the Site for any unlawful purpose, to submit fraudulent or false information through any form, to attempt to circumvent any security measures (including our analytics authentication), or to engage in any activity that disrupts or interferes with our services or infrastructure.
9. Limitation of Liability
Modivis shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use our Site or services. Our total liability shall not exceed the fees paid by you in the three months preceding the claim.
10. Intellectual Property
All content, trademarks, and intellectual property on the Modivis Site are owned by Modivis LLC. You may not reproduce, distribute, or create derivative works without our express written permission.
11. Third-Party Services
Our Site integrates with third-party services including Google Analytics 4 (Google LLC), ipinfo.io (IPinfo LLC) for IP-based organisation identification, Upstash (Upstash, Inc.) for internal data storage, and Vercel (Vercel Inc.) for hosting. Your use of our Site is also subject to the applicable terms of these services. We are not responsible for the privacy practices or content of third-party services.
12. Termination
We reserve the right to suspend or terminate your access to our services at any time, for any reason, including violation of these Terms of Service, without prior notice.
13. Changes to These Terms
We may update these Terms of Service from time to time to reflect changes in our practices or applicable law. We will post the updated terms on this page with a revised date. Your continued use of the Site after any changes constitutes your acceptance of the new terms.
14. Governing Law
These Terms of Service shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Santa Clara County, California.
